Company Overview

It is an innovative, interactive, immersive platform contributing to an integrated and impactful innovation ecosystem. It is a Finland-based technology platform headquartered in (location) that facilitates teaching and learning by effectively connecting students with teachers, institutes, businesses, governments, and other societal partners through inciting local and global real-world cases, research questions, scenarios, problems, etc., relevant to the curriculum. The core aim is to foster 21st-century skills and competencies among the young generation, driven by real-world problems, working in multidisciplinary international team settings; ultimately meeting the needs of current and future employment and local innovation ecosystems.

Services

The contract applies to Cogknit.io, Cogknit branded apps, Cogknit projects, and Cogknit-related sites, tutorials, communication tools, and other services offered by Cogknit such as games from Cogknit or third party. Users registered in Cogknit are “members” of Cogknit and users visiting Cogknit sites are “visitors”. This agreement covers both types of users.

Accounts

Acceptance

By clicking the button “I Agree” or by otherwise using or registering an account for the Services, you represent that you are at least 13 years of age or you are of legal age of consent to open an account under the laws of your country of residence. Your use of the Services must be approved by your parent, legal guardian, school, or teacher if you are not of legal age to open an account on your own. You also represent that you have not been previously suspended or removed from the Services by Cogknit Oy. Furthermore, you must comply with any and all applicable laws. Cogknit Oy reserves the right to update these Terms of Service at any time and notification will be sent to your platform regarding the changes in the Terms of Service.

Account Set up and Maintenance
To use our platform, you need to have an account and provide accurate and complete information, including a valid email address. The following information is collected from your home organization and stored with your consent when you log in to the servicename, username, e-mail address, home organization, student numberLocation, country, user’s preferred language, description, photo, web page address, instant messaging information, phone numbers, address information, skillsets, and interests, etc provided upon request or when you save them.You are solely responsible for everything that happens to your account, including any harm or damage caused by someone using it without your permission.You cannot transfer your account to someone else or use someone else's account.If you need access to an account, you must provide us with the necessary information to prove that you are the owner of that account.If we discover that you have created an account that violates these rules, we will terminate your account.Instructors may be asked to verify their identity before submitting content for publication.In case of a user's death, their account will be closed.
Account Security
Do not share your login credentials with anyone else.Notify us immediately if you suspect that someone else is using your account without your permission.We may ask for some information to confirm that you are the owner of your account.Users may be required to provide additional information or complete certain verification processes to access certain features or content on the Platform.We will not intervene in disputes between users who have shared account login credentials.

As per your permission, we utilize the data to provide you the better opportunities from the third party who might or might not use your data for their usage and utilizing their services. Cogknit provides the resources from the third party and Cogknit doesn’t bear any responsibilities regarding Privacy policies, Terms of Use, Cookie policies, Trademark policies, Refund policies, Shipping policies, and any other form of other Agreements not mentioned in this section. Also By using our Services, you will have the opportunity to access and utilize various types of content provided by instructors, fellow users, and third parties, as well as links to external websites and services. We want to inform you that we cannot guarantee the absolute absence of material that you may find objectionable, inappropriate, or harmful, including malware or other contaminants that could potentially damage your computer, mobile device, or stored files. Cogknit Rewards and Points

Earning Rewards
Cogknit provides rewards to users as per their personal and professional development inside the platform. Cogknit has developed its platform to gain rewards. Please go to a different rewards
section to get more information. There will be rewards offered by our partners as gifts or promotional codes. It can be redeemed via extra services provided by Cogknit or its partners.

Transfer of Rewards
Cogknit facilitates the transfer of rewards to its partners that have established networks and connections with. Rewards also can be transferred for social development as charitable purposes where the points or rewards are used to grant scholarships to students from remote areas in local locations by default. As per user requests it can be used for personal branding. If the user is passed away, expired, or in case of death then the rewards will be collected in a separate form and utilized for non-profit developments. The transfer of credit is provided as attribution by the deceased person as per their choices made. The rewards transaction will be transparent in the end user’s profile. We will not share any personal information during the transfer of rewards. Only the Cogknit points or Cogknit rewards are transferred.

Reward Termination
If the user deletes their account holding rewards in their profile, Cogknit has the right to redeem or collect it. Cogknit decides the action of the rewards.

Rights and Limits

Your License to Cogknit
The user created by Institutes or companies cannot delete their account but limit access to public views. As an independent user, you have the right to delete the account and request all the activities report before deleting the profile. The data is stored for 3 months after deleting the profile just in case the user wants to come back to Cogknit’s platform. User’s profile only has the right to make changes in their personal information exclusive to the required information to create a profile by Institutes or Companies. Social actions may be visible on our platform that contains for example likes, comments, shares, promotions, and so on.

We will not use your personal data in marketing or advertisements and provide any personal data to third parties without your separate consent. Cogknit will send a request to extend the contract with students who are passing out from the institutes to continue to use the platform. It however may require subscriptions to continue to use our products and services.

If you are a user from your schools, colleges, or universities then you have the right to shift your account as an independent user to Cogknit. However, there will be restrictions that the user will not have rights and access to respective institutes' resources and brands. It will transfer only your personal credentials along with your experiences, skillsets, and certificates. You are free to download your reports, assignments, and other any forms of content from an institute account. The user is solely responsible for the agreements with the institutes and other organizations and Cogknit doesn’t bear the responsibilities in breach of the agreement between those parties.
We will enable the public profile if you provide the consent right to “publish”, make it “public” or similar kinds of actions. Cogknit also uses resources from a third party. Cogknit is not liable for any data exchange or damages caused by third-party’s resources. It is solely up to the user to take care of and know their rights in the third-party portals.

We might change the demography of the texts or contracts. This will not affect the choices of the users.

Service Availability
Cogknit has the right to change, modify or discontinue any services or tools inside Cogknit’s platform. It may also include the prices and effect upon the notice to users. User has the right to accept or discontinue using our products and services. Cogknit has a right to suspend any projects if it is found to be violating the laws or targeting a diverse ethnic group. We love and respect all including but not limited to gender, race, castes, different ethnic groups, cross-border individuals, and so on. All have the right to use our services after the agreement between the parties.

Other Contents, Sites, and Apps
By using Cogknit services there is a high possibility to encounter inaccurate, incomplete, content or information which might mislead from the actual facts. Cogknit provides recommendations on careers roadmap with the best proximity as per skills accumulated but Cogknit doesn’t guarantee the matchmake to function completely until enough data is collected and processed as per request from the user. Users need to update the sets for skills every now and then. With the UniLIVE feature Cogknit has developed a medium to communicate with experts/mentors by students, Institutes, and so on. However, third-party links may be used including but not limited to Google Meet, Teams, Zoom, Discord, Slack, and so on. It is solely the user’s choice to accept the terms provided by such parties. Cogknit doesn’t take responsibility for third-party services and their terms.

Limits
Cogknit has the right to limit access to the features or services and has the right to temporarily suspend or terminate the Cogknit account if found any breach of the Agreements. While we have no obligation to monitor any consent uploaded to our platform, we reserve the right to take actions if we believe it is necessary due to your violations of these Terms, including Our Policies, or in response to takedown requests that adhere to our guidelines for Reporting Copyright and Trademark Violations.

SharingWe do not share the content unless the user provides their consent to share. It includes messaging, profiles, posts, links, articles, papers, images, pictures, videos, profiles, and so on. Third-party visitors will have restricted views of the information or data according to user choices. Since we value the privacy and choices made by users we strictly follow these terms.Users own the Intellectual Property Rights to the content that the user creates or reports that don’t belong to corporations or cooperative organizations as well as Cogknit in Cogknit’s platform while sharing the contents or resources. You can delete your content on your own wish on Cogknit’s platform. It will not be recovered after deletion.

Content Enrollment and Lifetime Access

The platform offers educational content, including but not limited to courses, lessons, videos, and other learning materials or content. The provider reserves the right to modify, update, or remove Content without prior notice. The provider doesn’t guarantee the availability of specific Content and may replace or substitute it with similar material. The provider aims to provide accurate and up-to-date Content but does not guarantee the completeness, accuracy, or reliability of the information provided. Users are advised to verify any information or consult additional sources if necessary. And if you find the content has false information, Cogknit requests users to notify you immediately.
Users may access the Content during the academic period or during the specified subscription period. or as outlined in the payment plan. Lifetime access, if offered, refers to the lifetime of the platform and not the user’s lifetime. Users may not distribute, reproduce, modify, or exploit the Content without explicit permission from the Provider, except as permitted under applicable copyright laws.

Intellectual Property Right (IPR)

Cogknit
Cogknit holds all the rights to the Cogknit platform’s codes, logo, design, architecture, Cogknit-generated resources, videos, links, attachments, database, brands, documents, research materials, products, services, developments, information, innovation, invention, and so on. If Cogknit assigns the project, IPR generated through the project belongs to Cogknit. Different arrangements and agreements will be developed if users show interest in building the startups from Cogknit's resources.

Students
The student has the right to Intellectual Property Right where they developed, innovate, or designed the product or services outside the scope assigned by Companies, Startups, Institutes, Cogknit, Research organizations, and other any form of corporations or cooperation inside the Cogknit platform. However, if Cogknit supports student’s innovation, designs, products, services, and developments, and helps in building the solutions then Cogknit has the right to access the agreed percentage of the stake of the solutions in different forms like share, royalty, or any other means. It will be negotiated separately with the team or innovators for the agreements.Companies
Companies providing projects don't possess the right to IPR if the research, innovation, designs, projects, products, services, and any other kinds of developments are outside the scope of projects. It automatically possesses the right to students. If companies get interested in those solutions then they must make a separate agreement with students to gain the rights to such research, innovation, designs, projects, products, services, and so on. However, if the research is left open then resources developed by the students would belong to the Company. Cogknit in any case is not liable for disagreements or any legalities between the parties.

Content developed by users solely belongs to the user and they can edit, modify, delete, or change the content as per their wish if the resources are made public then Cogknit can utilize the resources.
Cogknit reserves all the rights to any form of research, projects, products, software, services, ideas, concepts, and any form of development that is assigned by Cogknit to authorized users or students.

Contains illegal content or promotes illegal activities with the intent to commit such activities. Please keep in mind that users who are as young as 13 use our platform, and we do not allow content that is inappropriate for these younger users.Contains credible threats or organizes acts of real-world violence. Disclaimer and Limit of Liability

No Warranty
Our EdTech SaaS platform is provided on an "as is" and "as available" basis. We do not make any warranties, express or implied, regarding the platform or its content. We disclaim any warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement. We do not guarantee uninterrupted, secure, or error-free access to the platform. Users acknowledge and agree that the use of the platform is at their own risk.

Exclusion of Liability
To the maximum extent permitted by law, we, our affiliates, directors, employees, agents, and representatives, shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of our EdTech SaaS platform. This includes but is not limited to, damages for loss of profits, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

Basis of Bargain; Exclusions
Users agree that the limitations of liability set forth in these terms are an essential basis of the bargain between the users and us. They reflect the allocation of risk between the parties. Users acknowledge and agree that we would not provide the platform without such limitations. These limitations of liability apply to the fullest extent permitted by applicable law and shall survive any termination or expiration of these terms. It is important for users to understand that some jurisdictions do not allow the exclusion or limitation of certain types of damages. Therefore, the above limitations may not apply in certain jurisdictions. In such cases, our liability will be limited to the extent permitted by law.

Users should also be aware that our platform may contain links to third-party websites or services. We are not responsible for the content, accuracy, or availability of these third-party sites or services. Any interactions or transactions with third parties are solely between the users and the third party, and we disclaim any liability arising from such interactions or transactions. Users are advised to consult with appropriate professionals or experts before making any decisions or taking any actions based on the information or content provided through those third-party sources. By using our EdTech SaaS platform, users acknowledge and accept the limitations of liability and the disclaimers set forth in these terms. If users do not agree with these limitations or disclaimers, their sole remedy is to discontinue the use of the platform. Idemnification

Your use of Cogknit’s platform
You are responsible for your actions and use of the platform. Any misuse, violation of terms, or unauthorized activities on the platform may result in liability.

The content you submit or share
You are responsible for the accuracy, legality, and appropriateness of any content you submit or share on the platform. This includes text, files, images, videos, or any other form of content. You agree not to infringe upon the intellectual property rights or privacy of others in your content.

Violation of Terms of Use
If you violate any terms or policies of Cogknit’s platform, you may be held liable for any resulting claims or damages.

Interactions with other users or third parties
We are not responsible for any disputes, interactions, or transactions between you and other users or third parties. You are solely responsible for your interactions and any resulting consequences.

Third-party links or services
Our platform may contain links to third-party websites or services. We do not endorse or have control over the content, accuracy, or actions of these third parties. Any interactions or transactions with third parties are at your own risk.

Breach of applicable laws or regulations
You are responsible for complying with all applicable laws, regulations, and obligations while using the EdTech SaaS platform. Any breach of such laws or regulations may result in liability.We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully in the defense of any such claim.

Governing Law and Dispute Resolution

The law is solely valid between the stakeholder who uses Cogknit’s platform and Cogknit Oy.

Governing Law
Any disputes, claims, or legal proceedings arising out of or relating to the use of our EdTech SaaS platform shall be governed by and construed in accordance with the laws of Finland. The United Nations Convention on Contracts for the International Sale of Goods (CISG) and any conflict-of-law rules that would require the application of the laws of any other jurisdiction are expressly excluded.

Informal Dispute Resolution
In the event of any dispute or claim arising from the use of our platform, we encourage users to first attempt to resolve the matter informally by contacting us directly. We will make reasonable efforts to address and resolve any concerns or complaints promptly. Notice of Dispute between parties must give the other a written statement that sets forth the name, address, and contact information with a proposed solution with the title "Notice of Dispute." The letter must be sent in written format at Yläkartanontie 20 A 35, 02360, Espoo, Finland. Cogknit Oy will send you back the "Notice of Dispute" with a written letter. If any case there is no address then it will be submitted via email address. After the expiration of sixty (60) days from the date the Notice of Dispute is sent if a dispute arises between the user and Cogknit Oy, both parties will attempt to resolve the dispute in good faith through informal negotiation. If the dispute remains unresolved after the sixty (60) day period, either you or Cogknit Oy may initiate arbitration proceedings.

Binding Arbitration
If an amicable resolution cannot be reached through informal means, any dispute, claim, or controversy arising out of or relating to the use of our platform, including the validity, enforceability, or scope of this provision, shall be resolved by binding arbitration. The arbitration shall be conducted in accordance with the rules and procedures of a reputable arbitration organization mutually agreed upon by both parties.

Waiver of Class Action
Users agree that any arbitration proceedings shall be conducted on an individual basis and not as a plaintiff or class member in any purported class, consolidated, or representative action. Users further waive any right to participate in any class action or similar proceeding.

Venue and Jurisdiction
If for any reason the arbitration clause is deemed unenforceable or inapplicable, users agree that any legal action or proceeding arising out of or relating to the use of our platform shall be brought exclusively in the courts of Finland. Users consent to the personal jurisdiction and venue of such courts and waive any objection to inconvenient forums.

Attorney’s Fees
In the event of any legal action, arbitration, or other proceeding to enforce rights or remedies under these terms, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs incurred in connection with such action but a party may recover any or all expenses from another party if the arbitrator, applying applicable law, so determines.. However, whoever files the arbitration will pay the initial filing fee.

Filing Period
Any Dispute under these Terms must be filed within one (1) year in an arbitration proceeding, to the extent permitted by law. The one-year period commences from the occurrence of the events giving rise to the Dispute. If a Dispute is not filed within one year, it is considered permanently barred.
